Terms of Service

These Terms of Service ("Terms") govern your access to and use of services provided by AGNT/01 (operating as AG Digital Inc.), a Canadian AI consulting agency headquartered in Ottawa, Ontario ("AGNT/01," "we," "us," or "our"). By engaging us — through a paid audit, retainer, or productized service — you ("Client") agree to these Terms.

1. Services

AGNT/01 provides AI consulting, automation deployment, and managed digital services to Canadian small and medium-sized businesses. Specific deliverables, timelines, and fees are defined in your individual Service Agreement or invoice. Unless otherwise stated, all services are delivered remotely.

2. Engagement & Term

Engagements begin upon receipt of the initial deposit (typically 50% of the build fee). Monthly retainers are month-to-month after the initial build is complete — no long-term contract is required. Either party may terminate with 30 days' written notice via email to info@agntone.ca.

3. Fees & Payment

  • Build fees are typically split 50/50 — half on signing, half on go-live, unless otherwise agreed.
  • Monthly retainers are billed in advance on the 1st of each month.
  • All prices are in Canadian Dollars (CAD) and exclude applicable taxes (HST 13% for Ontario clients).
  • Invoices unpaid after 14 days incur a 1.5% monthly late fee (18% APR).
  • Productized one-time services (Toolkit) are paid in full upon order.

4. Asset Ownership

Upon full payment, Client owns all deliverables we create — including websites, AI configurations, content, customer lists, and integrations. AGNT/01 retains the right to use anonymized case study data and generic methodologies in marketing.

5. Performance & Guarantees

AGNT/01 commits to the timeline and scope defined in your Service Agreement. If we miss a defined milestone by more than 7 business days due to our fault, we will continue work at no additional cost until delivered. Outcome guarantees (revenue lift, ranking position, etc.) are not provided unless explicitly stated in writing.

6. Client Responsibilities

Client agrees to provide timely access to required platforms (Google Business Profile, CRM, hosting, etc.), respond to approval requests within 3 business days, and pay invoices on time. Delays caused by Client may extend timelines and shift go-live dates.

7. Limitation of Liability

AGNT/01's total liability for any claim arising from the services is limited to the fees paid by Client in the 3 months preceding the claim. We are not liable for indirect, consequential, or punitive damages, including lost profits or data loss. Nothing in these Terms limits liability for fraud or willful misconduct.

8. Confidentiality

Both parties agree to keep confidential information shared during the engagement private and not to disclose it to third parties without consent, except as required by law.

9. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes will be resolved in the courts of Ottawa, Ontario.

10. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated via email at least 30 days before they take effect. Continued use of services after changes constitutes acceptance.

02 · Privacy

Privacy Policy

AGNT/01 respects your privacy and complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws including Ontario's Freedom of Information and Protection of Privacy Act (FIPPA). This Privacy Policy explains how we collect, use, store, and protect personal information.

TL;DR: We collect what's needed to deliver the service. We don't sell data. We don't track you across sites. You can request deletion anytime.

1. Information We Collect

When you interact with AGNT/01 services, we may collect:

  • Contact information: name, email, phone, business name, role, city.
  • Roast tool data: the URL you submit and lead-capture form fields. We do not require account creation.
  • Service delivery data: client business operations data shared during engagement (limited to what's needed for the work).
  • Website analytics: we use Google Analytics 4 and Microsoft Clarity for heatmaps and session replay. These collect anonymized usage data (no PII).
  • Cookies: see Cookie Policy below.

2. How We Use It

  • To deliver the services you've engaged us for.
  • To send you the strategic audit, roast results, or follow-up communication you've requested.
  • To improve our website, offerings, and roast tool detection logic (anonymized only).
  • To send the AGNT/01 weekly memo (only if you opt in, unsubscribe anytime).

3. Lawful Basis

Under PIPEDA, we collect personal information based on:

  • Consent: when you submit a form, book a call, or run a roast.
  • Legitimate business interest: to deliver services you've contracted us for.
  • Legal obligation: tax, accounting, anti-spam (CASL) compliance.

4. Data Storage & Security

Data is stored on secure servers in Canada and the United States (Supabase, Vercel). We use HTTPS encryption in transit, encryption at rest, and role-based access control. Only authorized AGNT/01 personnel have access to client data.

5. Data Sharing

We do not sell your personal information. We share data only with:

  • Service providers required to deliver the work (Resend for email, Stripe for payments, Calendly for scheduling). Each is bound by data-protection agreements.
  • Legal authorities if required by Canadian law.

6. International Transfers

Some processing occurs in the United States (Vercel, Supabase, Resend). By using our services you consent to this transfer. We ensure equivalent levels of protection through provider data agreements.

7. Your Rights (PIPEDA)

You have the right to:

  • Access your personal information we hold.
  • Request correction of inaccurate data.
  • Request deletion of your data (right to erasure).
  • Withdraw consent at any time.
  • File a complaint with the Office of the Privacy Commissioner of Canada (priv.gc.ca).

To exercise any of these rights, email info@agntone.ca. We respond within 30 days.

8. Retention

We retain personal information only as long as necessary to deliver services, comply with legal obligations, and resolve disputes. Default: 7 years for client engagements (CRA tax retention requirement); 3 years for prospect/lead data.

9. Children

Our services are not directed to individuals under 18. We do not knowingly collect data from minors.

10. Changes

We may update this Policy. Material changes will be posted here and emailed to active clients at least 30 days in advance.

03 · Refunds

Refund Policy

1. Free Strategic Intro Call

The 30-min strategic intro call is free. There is nothing to refund.

2. Deep Strategic Audit ($997)

If, after delivery of the Deep Audit, you find that more than 50% of the findings are factually incorrect (verifiable evidence required), we will refund the full audit fee within 14 days. The walk-away playbook is yours to keep regardless.

3. Foundation / Growth Build Fees

  • Before kickoff: 100% refund minus a $497 onboarding processing fee.
  • During build (week 1): 50% refund of remaining build fee.
  • After go-live: No build refund, but you keep all assets and can cancel the monthly retainer with 30 days notice.

4. Monthly Retainers

All retainers are month-to-month. Cancel with 30 days' written notice via email. The 30-day notice month is fully payable. We do not pro-rate partial months.

5. Performance Trigger

If we agreed in writing to a 90-day performance trigger and the defined metrics did not improve, we will continue the work at no cost until the metric moves, OR refund the most recent monthly retainer at Client's choice.

6. Toolkit (One-Time Services)

Productized one-time services ($497-$4,997) are non-refundable once work has begun. Before work begins (typically same-day), you may cancel for a full refund.

7. Disputes

If you have concerns about a refund, email info@agntone.ca first. We resolve 95% of disputes within 14 days. Unresolved disputes follow the Governing Law clause in our Terms of Service.

Cookie Policy

We use cookies and similar technologies to deliver and improve agntone.ca. This policy explains what we use and why.

1. What Are Cookies?

Cookies are small text files placed on your device when you visit a website. They help the site remember your preferences and how you interact with it.

2. Cookies We Use

  • Strictly necessary: session management, security. Required for the site to function. No opt-out.
  • Analytics (Google Analytics 4 + Microsoft Clarity): anonymized aggregate usage data. Helps us understand how visitors use the site so we can improve it.
  • Functional: remember your preferences (e.g., dismissed banners).

We do not use advertising cookies, retargeting pixels, or third-party tracking beyond Google Analytics + Microsoft Clarity.

3. Managing Cookies

You can disable cookies in your browser settings. Disabling analytics cookies will not affect site functionality.

Service Level Agreement

1. Response Times

  • Foundation: business-hours response within 1 business day (Mon-Fri, 9am-6pm ET).
  • Growth: response within 4 business hours (Mon-Fri, 9am-6pm ET).
  • Enterprise: dedicated Slack channel, response within 1 hour during business hours.

2. Build Timelines

  • Foundation: 14 days from kickoff to go-live.
  • Growth: 21 days from kickoff to go-live.
  • Enterprise: 30 days, custom-scoped.

3. AI System Uptime

AI receptionist, lead qualifier, and follow-up systems are hosted on enterprise-grade infrastructure (Supabase + AWS). Target uptime: 99.9% monthly. We will notify you of any incident within 1 hour.

4. Maintenance Windows

Scheduled maintenance occurs Sunday 2-4am ET. Notification: 48 hours in advance via email.

5. Reporting

Foundation: monthly performance dashboard. Growth: bi-weekly strategy calls + dashboard. Enterprise: weekly executive review + custom dashboards.
